Navigating SEC Changes to Filing and EDGAR: What Companies Need to Know

The Securities and Exchange Commission (SEC) frequently updates its regulations and processes to maintain transparency and efficiency in the U.S. financial markets. Changes to SEC filing procedures and updates to the EDGAR (Electronic Data Gathering, Analysis, and Retrieval) system are no exception.

Enhancements and Amendments to the EDGAR System – EDGAR Next


The EDGAR system has undergone significant upgrades with the adoption of “EDGAR Next." This new system was implemented to improve cybersecurity, filer access, account management, and functionality for filers' third-party providers. The amendments require EDGAR filers to authorize identified individuals who will be responsible for managing their accounts. This includes individuals acting on behalf of EDGAR filers, from employees to third-party providers.


On September 30, 2024, the SEC opened for filer testing and feedback on a beta software environment that reflects the adopted rule, form amendments, and related technical changes. Companies can learn more about signing up for beta testing on the SEC website:



Below are the key areas that will be impacted by the FY2025 enhancement and amendments:

  • Improved User Interface

  • Enhanced Security Protocols

  • Batch Filing Capabilities


The SEC also offers filers optional Application Programming Interfaces (APIs), a machine-to-machine method of making submissions, retrieving information, and performing account management tasks that will improve the efficiency and accuracy of filers’ interactions with EDGAR. Key Dates to Know


  • March 24, 2025: Companies will be required to be in compliance with the amended Form ID and most new amendments by March 24, 2025. To continue filing on EDGAR without interruption, filers must enroll between March 24 and September 12, 2025.

  • September 15, 2025: Filers can continue to enroll between September 15 and December 19, 2025, but they will not be able to file during that period until they enroll.

  • December 19, 2025: After December 19, 2025, filers will be unable to enroll, and those who have not enrolled will be unable to file on EDGAR or otherwise access their EDGAR accounts. In that case, they must submit a Form ID application for access to be granted by the SEC staff.


All rules and form amendments will be effective on March 24, 2025.


How These Changes Affect Your Company


Failure to adopt these changes could result in penalties, delayed filings, or reputational damage. Companies must:


  1. Review Internal Processes: Ensure your internal reporting and compliance teams are updated on the new requirements. Have your legal and reporting teams familiarize themselves with the new requirements and information required to enroll in EDGAR Next.

  2. Engage with Technology Providers: If your company relies on third-party software or service providers, engage with them to gain an understanding of how they are updating their systems and processes to remain compliant. Also, ask what actions are required on your part to remain in compliance with your providers' updates.

  3. Identify and Train Relevant Staff: Create actionable plans to ensure your legal and reporting teams responsible for SEC compliance are properly identified and equipped. Make sure they acquire their credentials promptly, undergo targeted training to understand and implement upcoming changes, and secure the necessary authorizations to act on behalf of your organization.


Consequences of Not Enrolling


Certain consequences will impact companies that do not enroll in EDGAR Next:


  • Companies not enrolled by September 15, 2025, will not be able to file or access EDGAR accounts until they are enrolled.

  • Companies not enrolled by December 22, 2025, will not be able to file or access EDGAR accounts and will be required to manually apply for access and await the outcome of SEC staff review.
